Puffs, Representations, and Terms

Cards (4)

  • A puff is a statement no reasonable person would take seriously. No action in contract is available if the statement proves to be wrong.
  • Representation is a statement of fact which is not part of the contract. If the statement is wrong, it can be misrepresentation.
  • A term is a promise or undertaking that is part of the contract itself. If a term is broken, a party can claim for breach.
  • Puffs, representations, and terms are all pre-contractual statements.
